1. General Terms

1.1 These Terms and Conditions (“Terms”) govern your access to and use of the Nandhanush mobile application and any associated web services (collectively, the “Platform”), operated by Reflextion Ventures Pte Ltd (“Reflextion,” “we,” “us,” or “our”), a company incorporated in Singapore (UEN: 202551959G) with its registered office at 3 Coleman Street #03-40, Singapore 179804.

1.2 Nandhanush is a personal financial planning and portfolio management tool. It enables users to track assets, model investment allocations, simulate retirement income plans, and access AI-assisted financial insights. The Platform does not execute trades, hold funds or securities, provide custody services, or constitute a brokerage.

1.3 By downloading, registering, or using the Platform, you (“User,” “Client,” or “you”) agree to be bound by these Terms. If you do not agree, do not use the Platform.

1.4 These Terms may be updated from time to time. Continued use of the Platform following a material update constitutes acceptance of the revised Terms. We will notify you of significant changes via email or in-app notification.

2. Disclaimer

2.1 Nandhanush is a financial planning and portfolio tracking tool only. Nothing on the Platform constitutes financial, investment, tax, or legal advice.

2.2 All planning projections, simulations, and AI-generated insights are illustrative and hypothetical. They are based on data you input and should not be relied upon as a basis for any investment decision. Any forecasts, projections, or forward-looking statements made through the Platform are not necessarily indicative of future or likely performance, future events, or future financial performance of any asset, market, or portfolio.

2.3 Past performance is not indicative of future performance. The value of investments may fall as well as rise.

2.4 You should seek independent professional advice from a licensed financial adviser, tax professional, or legal counsel before making any financial decision.

2.5 Reflextion Ventures Pte Ltd is a technology company. It is not a licensed financial adviser, fund manager, broker-dealer, or capital markets services licence holder under the Securities and Futures Act (SFA) of Singapore or any equivalent legislation in other jurisdictions.

2.6 Reflextion shall not be liable for any investment losses, financial decisions, or outcomes arising from your use of the Platform.

3. Account Registration

3.1 To access the full features of the Platform, you must create an account using a valid email address and password, or authenticate via a supported third-party provider (Google, Apple). You are responsible for maintaining the confidentiality of your credentials.

3.2 You represent that all information you provide during registration is accurate and complete. You agree to keep this information current.

3.3 You must be at least 18 years of age to create an account. By registering, you confirm that you meet this requirement and are legally capable of entering into binding agreements in your jurisdiction.

3.4 You must not create accounts on behalf of others without their express consent, or use the Platform for commercial data scraping or competitive intelligence.

3.5 If you are accessing the Platform from a jurisdiction outside of Singapore, you are solely responsible for ensuring that your access and use of the Platform complies with all applicable laws and regulations of your jurisdiction. Do not use the Platform if access to or use of it is prohibited in your jurisdiction.

4. Account Security

4.1 You are solely responsible for all activity that occurs under your account. Keep your login credentials secure and do not share them with any third party.

4.2 The Platform may offer optional two-factor authentication (2FA). We recommend enabling it.

4.3 If you suspect unauthorised access to your account, notify us immediately at support@reflextion.ai. Reflextion shall not be liable for losses resulting from your failure to maintain credential security.

4.4 You have no proprietary rights, title, or interest over your account. Reflextion reserves the right to suspend or terminate your account at its sole discretion. Reflextion shall not be liable to you or any third party for any termination, deactivation, or deletion of your account or its contents.

4.5 Account deletion is available at any time from within the Platform's settings. Upon deletion, your data will be removed from our active systems in accordance with our Privacy Policy.

5. Modification of Account Details

5.1 You may update your profile information, linked email address, and preferences from within the Platform settings at any time.

5.2 You are responsible for ensuring your contact details remain current, as we use these to communicate important service and account updates.

6. Premium Subscription

6.1 Nandhanush offers a free tier and a premium subscription. The free tier provides access to core planning and tracking features with certain limitations. The premium subscription unlocks additional features as described on the Platform at the time of subscription.

6.2 Premium subscriptions are offered on monthly and annual billing cycles. Pricing is displayed in your local App Store or Google Play Store currency. Prices may vary by region and are subject to change with advance notice.

6.3 All subscription payments are processed through Apple App Store or Google Play Store in-app purchase systems (via RevenueCat). Reflextion does not directly collect or store payment card information.

6.4 Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period. You may manage or cancel your subscription at any time through your device's App Store subscription settings.

6.5 Where a free trial is offered, unused trial days are forfeited upon upgrade. You will be charged at the end of the trial period unless cancelled beforehand.

6.6 Subscription fees are non-refundable except as required by applicable law or App Store policies. Partial-period refunds are not provided. For refund requests, contact support@reflextion.ai.

7. AI-Powered Features

7.1 Nandhanush includes AI-assisted features (such as portfolio health analysis and financial picture summaries) powered by third-party large language models. These are informational tools only and do not constitute personalised financial advice.

7.2 While certain features on the Platform may provide general investment or financial analysis based upon data you input, such outputs are not to be construed as Reflextion providing investment recommendations or advice. Any opinion, estimate, or analysis generated is made on a general basis without consideration of your individual investment objectives, financial situation, or particular needs.

7.3 AI outputs are generated based on data you voluntarily enter into the Platform. You are responsible for the accuracy of data you provide.

7.4 AI-generated outputs may contain errors or inaccuracies. You should independently verify any AI-generated insight before acting on it. Decisions based on AI-generated content are your sole responsibility. Do not rely on AI summaries as a substitute for professional financial advice.

7.5 AI analysis features may be subject to usage frequency limits depending on your subscription tier.

8. Referral Partners and Third-Party Links

8.1 The Platform may display referral links or partner recommendations for third-party brokers, financial platforms, or service providers (such as FSMOne, Syfe, Interactive Brokers, or others). These are independent entities. Reflextion may receive referral compensation when you open an account with a partner through such links.

8.2 Reflextion does not endorse any specific financial product, instrument, or provider. Referral links are provided for your convenience and do not constitute a recommendation to buy, sell, or subscribe to any product.

8.3 Any hyperlinks to third-party websites or services are not an endorsement or verification of such sites. Your use of any third-party platform is governed by that platform's own terms, conditions, and privacy policy. You access third-party platforms entirely at your own risk.

8.4 Reflextion is not responsible for any third-party platform's content, performance, fees, losses, or actions, and shall not be liable for any outcomes arising from your use of a third-party platform, including losses on investments made through referral partners.

9. Fees and Charges

9.1 Use of the free tier of Nandhanush is provided at no charge. Premium features require a paid subscription as described in Section 6.

9.2 Reflextion reserves the right to introduce new fee-based features or modify its pricing structure. You will be notified in advance of any changes that affect your existing subscription.

10. Intellectual Property

10.1 All intellectual property rights in the Platform, including its software, design, branding, AI models, data models, and content, are owned exclusively by Reflextion Ventures Pte Ltd or its licensors. The “Nandhanush” and “ReflextionAI” names and logos are trademarks of Reflextion Ventures Pte Ltd.

10.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for personal, non-commercial purposes only. Nothing in these Terms shall be construed as conferring by implication, estoppel, or otherwise any licence or right under any patent, trademark, or other proprietary right of Reflextion or any third party beyond what is expressly stated herein.

10.3 You shall not copy, decompile, reverse engineer, disassemble, modify, or create derivative works from the Platform or any part of it. Automated scraping, crawling, or extraction of data from the Platform is strictly prohibited.

10.4 No hyperlinks to the Platform, deep links to internal pages, or framing of any content within the Platform shall be made by any third party without the prior written consent of Reflextion.

11. User Content, Conduct, and Submitted Information

11.1 You retain ownership of all personal financial data you enter into the Platform. By using the Platform, you grant Reflextion a limited licence to process this data solely for the purpose of providing you with the Platform's features, including AI analysis.

11.2 By submitting information to Reflextion through any channel (including feedback forms, contact forms, or in-app submissions), you agree that such information is non-confidential and that Reflextion shall have the right to use, reproduce, and act upon such information as it deems appropriate, without compensation or acknowledgement of its source.

11.3 You must not use the Platform for any unlawful purpose, including money laundering, fraud, or violations of applicable financial regulation in your jurisdiction.

11.4 You must not upload, input, or transmit content that is defamatory, unlawful, or infringes the intellectual property rights of any third party.

12. Data Privacy and Personal Data Protection

12.1 Reflextion collects, uses, and stores personal data in accordance with Singapore's Personal Data Protection Act 2012 (PDPA) and, where applicable, equivalent data protection legislation in other jurisdictions.

12.2 By using the Platform and submitting information, you consent to the collection, processing, and storage of your personal data as described in our Privacy Policy. Your continued use of the Platform constitutes your explicit consent to the data practices described in our Privacy Policy.

12.3 Your financial data is stored securely using Google Firebase infrastructure. Reflextion does not sell your personal data to third parties.

12.4 You may request access to, correction of, or deletion of your personal data by contacting privacy@reflextion.ai.

13. Account Termination and Suspension

13.1 Reflextion reserves the right to suspend or terminate your account without prior notice if you breach these Terms, engage in fraudulent or abusive behaviour, or violate applicable laws.

13.2 You may terminate your account at any time through the Platform's settings. Termination does not entitle you to a refund of any prepaid subscription fees except as required by applicable law.

13.3 Upon termination, your right to access the Platform immediately ceases.

14. Representations and Warranties

14.1 By using the Platform, you represent and warrant that:

• You are at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction.
• You are not prohibited by the laws of your jurisdiction from accessing or using financial planning tools.
• All data you enter into the Platform is entered voluntarily and for your personal planning purposes only.
• You understand that Nandhanush is a planning simulation tool and that all projections are hypothetical and not guaranteed.

15. Indemnification

15.1 You agree to indemnify, defend, and hold harmless Reflextion Ventures Pte Ltd, its directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Platform, or your violation of any applicable law.

16. Disclaimer of Warranties and Limitation of Liability

16.1 The Platform and all information, tools, and features therein are provided on an “AS IS” and “AS AVAILABLE” basis. Reflextion, its subsidiaries, and affiliates disclaim all warranties, representations, and endorsements, express or implied, including but not limited to implied warranties of title, merchantability, fitness for a particular purpose, non-infringement, and freedom from error or malicious code.

16.2 Reflextion does not warrant that the Platform will be available at all times, uninterrupted, error-free, or free from delays, omissions, or technical inaccuracies. Reflextion expressly disclaims all liability for inadvertent delays, connectivity or server failures, technical inaccuracies, errors, or omissions.

16.3 To the maximum extent permitted by law, Reflextion shall not be liable for any indirect, special, incidental, punitive, or consequential damages of any kind arising out of or in connection with your use of the Platform, including any financial losses based on information or features within the Platform, whether in contract, tort, negligence, or strict liability.

16.4 The total aggregate liability of Reflextion to you for any direct loss shall not exceed the total subscription fees paid by you in the three (3) months preceding the claim, or SGD 100, whichever is greater.

16.5 This exclusion of liability shall apply to the fullest extent permitted by applicable law.

17. Programmes and Initiatives

17.1 Reflextion may run referral programmes, promotional offers, or educational initiatives from time to time. Reflextion reserves the right to modify, suspend, or terminate such programmes at its sole discretion.

17.2 Abuse of referral programmes, including the creation of fraudulent accounts to generate referral credits, will result in immediate account suspension and forfeiture of any credits earned.

18. Force Majeure

18.1 Reflextion shall not be liable for any delay, failure, or interruption of services resulting from causes beyond its reasonable control, including but not limited to internet outages, data centre failures, natural disasters, regulatory actions, or third-party service provider failures.

19. Severability

19.1 If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

20. Refund and Cancellation Policy

20.1 Subscriptions may be cancelled at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you will retain access to premium features until then.

20.2 Subscription fees are non-refundable except where required by the applicable App Store's refund policy or by law. For dispute resolution regarding billing, contact support@reflextion.ai. See also our full Refund Policy.

21. Modifications to the Platform

21.1 Reflextion reserves the right to modify, suspend, or discontinue any feature or the Platform as a whole at any time with reasonable notice where practicable.

21.2 All information on the Platform, including feature descriptions and pricing, may be revised or withdrawn at any time without notice and shall not in any event form or constitute part of an offer or terms of a contract.

22.3 Grievances will be acknowledged within 5 business days and resolved within 30 business days where possible.

22.4 If a dispute cannot be resolved directly, users in Singapore may escalate to the Singapore Consumer Association (CASE) or, where applicable, the Financial Industry Disputes Resolution Centre (FIDReC), noting that Reflextion is a technology company and not a licensed financial institution.

23. Notice

23.1 All notices and communications from Reflextion to you will be sent to your registered email address or delivered via in-app notification. You are responsible for ensuring your contact details are current.

24. Governing Law and Dispute Resolution

24.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

24.2 In the event of any dispute, the parties shall first attempt to resolve the matter amicably within 30 days of written notice.

24.3 If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under SIAC Arbitration Rules then in force. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

24.4 The courts of Singapore shall have non-exclusive jurisdiction over any matter arising from these Terms that is not referred to arbitration.
